Si votre entreprise fournit un ou plusieurs services r\u00e9glement\u00e9s li\u00e9s aux crypto-actifs, vous devrez obtenir un agr\u00e9ment <strong>Fournisseur de services li\u00e9s aux crypto-actifs (CASP)<\/strong>.<\/p>\n<p>Mais en quoi consiste exactement la conformit\u00e9 ? Cet article passe en revue les principales exigences r\u00e9glementaires applicables aux CASP dans le cadre de la MiCA, depuis l'octroi de licences et la gouvernance jusqu'\u00e0 la lutte contre le blanchiment d'argent, la s\u00e9curit\u00e9 et la protection des clients.<br><br><\/p>\n<p><\/p>\n<p><strong>\u00c9tape 1 : D\u00e9terminez les services que vous proposez<\/strong><\/p>\n<p>Avant de d\u00e9poser votre demande, identifiez lesquels, parmi les 10 services li\u00e9s aux crypto-actifs r\u00e9glement\u00e9s, votre entreprise fournit. Il s'agit notamment de services tels que :<\/p>\n<ul>\n<li>Gestion des crypto-actifs<\/li>\n<li>Fonctionnement d'une plateforme de trading<\/li>\n<li>Plateforme d'\u00e9change crypto-fiat ou crypto-crypto<\/li>\n<li>Ex\u00e9cution des commandes<\/li>\n<li>Gestion de portefeuille<\/li>\n<li>Des conseils, et bien plus encore<br><br><\/li>\n<\/ul>\n<p>L'octroi de licences MiCA est <strong>bas\u00e9 sur les activit\u00e9s<\/strong>, ; vous devez donc faire une demande pour chaque service que vous comptez proposer.<br><br><\/p>\n<p><\/p>\n<p><strong>\u00c9tape 2 : Cr\u00e9er une soci\u00e9t\u00e9 dans l'UE<\/strong><\/p>\n<p>Uniquement les entreprises <strong>\u00e9tabli dans un \u00c9tat membre de l'UE<\/strong> peuvent demander une autorisation CASP. Cela signifie que :<\/p>\n<ul>\n<li>Vous devez cr\u00e9er une personne morale (par exemple, une soci\u00e9t\u00e9 \u00e0 responsabilit\u00e9 limit\u00e9e) dans un pays de l'Union europ\u00e9enne.<\/li>\n<li>La soci\u00e9t\u00e9 <strong>si\u00e8ge social et administration centrale<\/strong> doit se situer au sein de l'UE.<br><br><\/li>\n<\/ul>\n<p>Les entit\u00e9s non membres de l'UE doivent soit <strong>cr\u00e9er une filiale<\/strong> dans l'UE ou <strong>restructurer<\/strong> pour demander une licence.<br><br><\/p>\n<p><\/p>\n<p><strong>\u00c9tape 3 : Pr\u00e9parez votre demande d'autorisation<\/strong><\/p>\n<p>Chaque demande doit \u00eatre soumise \u00e0 la <strong>Autorit\u00e9 nationale comp\u00e9tente (ANC)<\/strong> de l'\u00c9tat membre de l'UE o\u00f9 votre entreprise est implant\u00e9e.<\/p>\n<p>La demande doit \u00eatre accompagn\u00e9e d'une documentation d\u00e9taill\u00e9e, comprenant notamment :<\/p>\n<ul>\n<li>A <strong>plan d'exploitation<\/strong> en d\u00e9crivant vos services, votre mod\u00e8le \u00e9conomique et votre plan op\u00e9rationnel<\/li>\n<li>A <strong>description des m\u00e9canismes de contr\u00f4le interne<\/strong>, notamment en mati\u00e8re de conformit\u00e9 aux normes de lutte contre le blanchiment d'argent et le financement du terrorisme<\/li>\n<li>A <strong>Politique en mati\u00e8re de garde et de protection<\/strong> (le cas \u00e9ch\u00e9ant)<\/li>\n<li>Documentation relative \u00e0 votre <strong>Syst\u00e8mes informatiques<\/strong>, les protocoles de s\u00e9curit\u00e9 et la gestion des risques<\/li>\n<li>A <strong>plan de continuit\u00e9 des activit\u00e9s et de reprise apr\u00e8s sinistre<\/strong><\/li>\n<li>Structure de gouvernance, y compris les \u00e9valuations de l'aptitude et de l'honorabilit\u00e9 des dirigeants et des membres cl\u00e9s du personnel<\/li>\n<li>Politiques relatives \u00e0 <strong>conflits d'int\u00e9r\u00eats<\/strong>, la s\u00e9paration des actifs des clients et le traitement des r\u00e9clamations<br><br><\/li>\n<\/ul>\n<p>Chaque autorit\u00e9 nationale comp\u00e9tente peut fournir ses propres mod\u00e8les et directives proc\u00e9durales.<br><br><\/p>\n<p><\/p>\n<p><strong>\u00c9tape 4 : Nommer les titulaires de postes cl\u00e9s<\/strong><\/p>\n<p>La MiCA impose aux CASP de nommer des personnes comp\u00e9tentes \u00e0 des postes cl\u00e9s, tels que :<\/p>\n<ul>\n<li><strong>Responsable de la conformit\u00e9<\/strong><\/li>\n<li><strong>Responsable de la lutte contre le blanchiment d'argent et le financement du terrorisme<\/strong><\/li>\n<li><strong>Responsable de la gestion des risques<\/strong><\/li>\n<li><strong>Responsable de la s\u00e9curit\u00e9 informatique<\/strong><\/li>\n<\/ul>\n<p>Ces personnes doivent justifier de qualifications et d'une exp\u00e9rience pertinentes et, dans certaines juridictions, elles peuvent \u00eatre tenues d'\u00eatre \u00e9tablies dans l'Union europ\u00e9enne.<br><br><\/p>\n<p><\/p>\n<p><strong>\u00c9tape 5 : Mettre en place des contr\u00f4les en mati\u00e8re de lutte contre le blanchiment d'argent et le financement du terrorisme<\/strong><\/p>\n<p>La MiCA s'inscrit dans le prolongement des cadres europ\u00e9ens de lutte contre le blanchiment d'argent. Les CASP doivent :<\/p>\n<ul>\n<li>Ex\u00e9cuter <strong>v\u00e9rification de l'identit\u00e9 du client (CDD)<\/strong> et <strong>Proc\u00e9dures KYC<\/strong><\/li>\n<li>Surveiller les transactions afin de d\u00e9tecter toute activit\u00e9 suspecte<\/li>\n<li>Envoyer <strong>D\u00e9clarations d'op\u00e9rations suspectes (DOS)<\/strong> aux autorit\u00e9s comp\u00e9tentes<\/li>\n<li>Nommer un <strong>Responsable de la lutte contre le blanchiment d'argent (MLRO)<\/strong> si la l\u00e9gislation nationale l'exige<br><br><\/li>\n<\/ul>\n<p>Vous devez \u00e9galement tenir \u00e0 jour un <strong>syst\u00e8me d'enregistrement des transactions<\/strong> conform\u00e9ment \u00e0 la directive MiCA et aux l\u00e9gislations nationales en mati\u00e8re de lutte contre le blanchiment d'argent.<br><br><\/p>\n<p><\/p>\n<p><strong>\u00c9tape 6 : Respecter les normes de s\u00e9curit\u00e9 informatique et d'exploitation<\/strong><\/p>\n<p>La MiCA impose aux CASP de mettre en place des mesures solides <strong>Syst\u00e8mes informatiques et protocoles de cybers\u00e9curit\u00e9<\/strong> qui garantissent :<\/p>\n<ul>\n<li>Protection des cl\u00e9s priv\u00e9es et des donn\u00e9es des clients<\/li>\n<li>Lutte contre les cyberattaques<\/li>\n<li>Continuit\u00e9 des activit\u00e9s en cas de perturbation<\/li>\n<li>Communication s\u00e9curis\u00e9e avec les autorit\u00e9s et les clients<br><br><\/li>\n<\/ul>\n<p>Ces exigences sont \u00e9troitement align\u00e9es sur celles de l'UE <strong>Loi sur la r\u00e9silience op\u00e9rationnelle num\u00e9rique (DORA)<\/strong> et <strong>Directive NIS 2<\/strong>.<br><br><\/p>\n<p><\/p>\n<p><strong>\u00c9tape 7 : Mettre en place des m\u00e9canismes de protection des clients<\/strong><\/p>\n<p>Les CASP doivent veiller \u00e0 ce que :<\/p>\n<ul>\n<li>Des informations claires et transparentes \u00e0 l'intention des clients<\/li>\n<li>S\u00e9paration ad\u00e9quate des actifs des clients et des actifs de l'entreprise<\/li>\n<li>Une tarification et des structures tarifaires transparentes<\/li>\n<li>Proc\u00e9dures de traitement des r\u00e9clamations<\/li>\n<li>Envoi r\u00e9gulier de rapports aux clients (par exemple, relev\u00e9s de portefeuille, confirmations de transaction)<br><br><\/li>\n<\/ul>\n<p>En ce qui concerne la gestion de portefeuille et les services de conseil, vous devez \u00e9galement effectuer <strong>\u00e9valuations de l'ad\u00e9quation<\/strong> afin de s'assurer que les produits correspondent aux profils de risque des clients.<br><br><\/p>\n<p><\/p>\n<p><strong>\u00c9tape 8 : Se pr\u00e9parer \u00e0 la supervision continue<\/strong><\/p>\n<p>Une fois agr\u00e9\u00e9s, les CASP sont soumis \u00e0 <strong>surveillance permanente<\/strong> par leur NCA, notamment :<\/p>\n<ul>\n<li>Obligations de d\u00e9claration p\u00e9riodique<\/li>\n<li>Audits et inspections<\/li>\n<li>Contr\u00f4les de l'ad\u00e9quation des fonds propres<\/li>\n<li>\u00c9valuation de la tenue des registres et des contr\u00f4les internes<br><br><\/li>\n<\/ul>\n<p>Tout manquement \u00e0 ces dispositions peut entra\u00eener des amendes, la suspension de la licence ou des mesures coercitives publiques.<\/p>\n<p><\/p>\n<p><strong>Conclusion<\/strong><\/p>\n<p>Devenir un CASP au titre de la MiCA ne se r\u00e9sume pas \u00e0 une simple formalit\u00e9 r\u00e9glementaire : cela exige une r\u00e9elle capacit\u00e9 op\u00e9rationnelle, une gouvernance solide et une conformit\u00e9 permanente.<\/p>\n<p>Pour les entreprises du secteur des cryptomonnaies \u00e9tablies dans l'UE, la directive MiCA apporte une clart\u00e9 r\u00e9glementaire \u00e0 long terme et leur permet de b\u00e9n\u00e9ficier d'un passeport europ\u00e9en pour leurs services dans tous les \u00c9tats membres de l'UE.
